Conditions and guidelines governing the commercial B2B subscriptions for AnswerShaper platform services, owned and operated by WeLink Tech SAS.

1. Preamble & Corporate Information
These B2B Terms of Sale ("Terms of Sale" or "CGV") are entered into between WeLink Tech SAS ("WeLink Tech"), a French simplified joint-stock company (Société par Actions Simplifiée) with a share capital of 50,000 €, headquartered at 6 Rue des Bateliers, 92110 Clichy, France, registered under RCS Nanterre 984 800 136, and any professional user or corporate entity ("Client") subscribing to AnswerShaper platform services ("Service").
2. Object & Scope
These Terms of Sale define the reciprocal commitments between WeLink Tech and the Client for the paid subscriptions of the AnswerShaper online platform. Subscribing to the Service implies total, unreserved acceptance of these Terms, which take precedence over any Client procurement guidelines.
3. Subscriptions & Pricing
AnswerShaper is offered as a Software-as-a-Service (SaaS) subscription. Subscription plans and operational usage thresholds are detailed on the Pricing Page. All prices are stated in Euros (€) or United States Dollars ($), exclusive of Value Added Tax (HT).
Clients residing in France will be invoiced French VAT (20%). EU corporate clients outside France are subject to the reverse charge mechanism (VAT ID required). WeLink Tech reserves the right to modify pricing with a 30-day email notification.
4. Billing & Stripe Payments
SaaS subscriptions are billed in advance on a recurring monthly or annual basis depending on the chosen plan. Payments are securely processed via Stripe. The Client agrees to maintain a valid, funded credit card or SEPA direct debit authorization.
Failure to settle invoices within 5 business days will result in automated workspace suspension. Late payments yield interest at 3 times the French legal interest rate, plus a statutory flat recovery fee of 40 €.
5. Term & Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle (monthly or annually) for an identical term. The Client can terminate the subscription at any time through the workspace billing dashboard or by emailing hello@answershaper.com. Termination takes effect at the end of the current billing cycle; no partial refunds are provided.
6. Exclusion of Withdrawal Rights
In accordance with article L. 221-3 of the French Code de la consommation, B2B digital service agreements between corporate professionals are explicitly excluded from consumer withdrawal rights (droit de rétractation). All sales are final upon account provision.
7. SLA & Technical Support
WeLink Tech commits to keeping the AnswerShaper platform accessible with a 99.9% monthly uptime target (excluding scheduled maintenance). Technical support is available via email at support@answershaper.com, with response times of 24h for standard tiers and 4h priority response for enterprise tiers.
8. Limitation of Liability
AnswerShaper provides search simulation analytics and recommendations. WeLink Tech does not guarantee specific ranking results in third-party generative search engines (e.g. ChatGPT, Perplexity, Gemini, Claude) as their ranking algorithms remain proprietary.
To the maximum extent permitted under French Law, WeLink Tech's cumulative liability for any breach, negligence, or service failure is strictly capped at the total fees paid by the Client in the twelve (12) months preceding the event. In no event shall WeLink Tech be liable for indirect commercial losses or loss of revenue.
9. Governing Law & Jurisdiction
These Terms of Sale are governed exclusively by French Law. Any dispute, claim, or litigation arising between the Client and WeLink Tech regarding subscription validity, execution, or termination shall be brought exclusively before the Commercial Court of Paris (Tribunal de Commerce de Paris, France), regardless of multiple defendants or third-party appeals.
